Terms of Service

1. Introduction & Corporate Identity

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether as a patient, caregiver, registered medical practitioner, healthcare professional, or institutional hospital representative) and Toshiko Health Private Limited ("Company", "we", "us", or "our"), governing your access to and use of the OncoCare digital oncology ecosystem, available at www.oncocare.tech and associated mobile/web applications.

By registering, accessing, subscribing to, or utilizing any portion of our platform or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our companion Privacy Policy and Refund & Cancellation Policy.

2. Nature of Services & Medical Disclaimer

OncoCare provides software-as-a-service (SaaS) and digital health connectivity tools, including:

• Patient Companion: Digital chemotherapy calendar, symptom tracker, daily PROMs reporting, and ABDM/ABHA electronic medical records integration.
• Doctor EMR Cockpit: Longitudinal oncology tracking, standardized NCCN/ESMO chemotherapy regimen builders, BSA calculators, and CTCAE toxicity triage alerts.
• Tumor Board 360: Collaborative multi-disciplinary case presentation platform for medical, surgical, and radiation oncology teams.

3. User Eligibility & Account Security

• Eligibility: You must be at least 18 years of age or accessing under the supervision of a parent/legal guardian to register as a patient or caregiver. Healthcare practitioners must hold valid registrations with the National Medical Commission (NMC) or relevant state medical council.
• Account Integrity: You are responsible for maintaining the confidentiality of your login credentials and OTPs. You must immediately notify OncoCare of any unauthorized account access.

4. Commercial Transactions, Subscriptions & Payments

To access premium clinician software modules, institutional deployments, or multidisciplinary second opinion reviews, commercial payment is required in accordance with our published Pricing Schedule:

• Currency & Invoicing: All fees are stated and billed in Indian Rupees (INR - ₹). Legally compliant electronic invoices will be generated and provided for all transactions.
• Payment Processing: Commercial transactions are processed securely through our authorized payment aggregator, Zoho Payments. We do not store credit/debit card numbers or sensitive CVV codes on our servers.
• Advance Billing & Renewals: Monthly SaaS subscriptions (e.g., Oncologist Clinic EMR at ₹4,999/month per clinician) are billed in advance. You may cancel renewal at any time prior to the billing date.
• Taxes: All fees are subject to applicable Goods and Services Tax (GST) as mandated under Indian statutory law.

5. Cancellation & Refund Terms

Our refund and cancellation provisions are governed by our standalone Refund & Cancellation Policy. Key terms include:

• 7-day money-back guarantee for new Clinic EMR subscribers.
• Full refund for Tumor Board Consultations cancelled at least 2 hours before the scheduled review session.
• Approved refunds are credited directly back to the original source account via Zoho Payments within 5 to 7 business days.

6. Intellectual Property & License

All proprietary software, algorithms, UI designs, CTCAE triage rule logic, documentation, and branding on OncoCare are the exclusive intellectual property of Toshiko Health Private Limited. You are granted a limited, revocable, non-exclusive, non-transferable license to access the platform strictly for authorized clinical or personal healthcare purposes.

7. Patient Data Protection & Regulatory Compliance

We handle all personal and sensitive health data in compliance with the Digital Personal Data Protection (DPDP) Act, 2023, the Information Technology Act, 2000, and Ayushman Bharat Digital Mission (ABDM) standards. Data is protected with 256-bit encryption in transit and at rest.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Toshiko Health Private Limited and its directors, employees, or affiliates shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from clinical decisions made by treating oncologists, interruptions in telecommunication services, or patient failure to report symptoms accurately.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or related to these Terms, commercial transactions, or platform usage shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
